Terms and conditions
General terms and conditions for supplies and services.
Last updated: September 2026
These General Terms and Conditions of Sale and Delivery apply primarily to B2B transactions between EssenzNatur GmbH i.G. and its business customers.
1. Scope
These Terms apply to quotations, sales, deliveries and other business transactions between EssenzNatur GmbH i.G. and its business customers. EssenzNatur primarily supplies botanical extracts and related products to commercial customers, manufacturers, processors, distributors and other professional business customers. Conflicting customer terms do not apply unless expressly accepted.
2. Product information
Website product descriptions, images, technical information and general specifications are primarily informational. Contractual specifications, quality parameters, tolerances, packaging and quantities are determined by the applicable quotation, product specification, technical documentation or order confirmation. Natural botanical materials may show natural variations in colour, aroma, appearance and composition; variations within agreed specifications are not defects.
3. Quotations and contract formation
Unless expressly stated otherwise, quotations are non-binding. A contract is concluded when EssenzNatur accepts the customer’s order, normally through an order confirmation. Special requirements concerning specifications, packaging, delivery or documentation must be agreed before acceptance.
4. Product specifications and documentation
Where applicable, EssenzNatur may provide Technical Data Sheets (TDS), Safety Data Sheets (SDS), Certificates of Analysis (CoA), specifications, product information, certificates or other quality documentation. Availability depends on the product, batch, intended application and applicable requirements.
5. Prices and payment
Prices are stated in the applicable quotation or order confirmation. Statutory VAT, taxes, duties or charges apply as required by law. Invoices are payable within the agreed period. EssenzNatur may require advance payment where appropriate and may exercise statutory rights in the event of payment default.
6. Delivery
Delivery dates and periods are stated in the applicable quotation or order confirmation. Unless expressly agreed otherwise, delivery dates are approximate and depend on raw-material availability, production capacity, transport and other relevant circumstances. Delivery terms, Incoterms and transfer of risk are determined by the applicable order documentation.
7. Packaging and transport
Products are packaged in accordance with applicable requirements and agreed delivery conditions. Customers should inspect shipments for visible transport damage upon receipt and document and report such damage without undue delay.
8. Inspection and notification of defects
Customers shall inspect delivered products promptly after receipt to the extent required under applicable law and customary business practice. Apparent defects, shortages or incorrect deliveries should be reported without undue delay. Hidden defects should be reported promptly after discovery. Statutory commercial inspection and notification duties remain unaffected.
9. Warranty and remedies
EssenzNatur warrants that delivered products conform to expressly agreed contractual specifications at the time of transfer of risk. Where EssenzNatur is legally responsible for a defect, remedies will be provided in accordance with applicable law. The customer shall provide a reasonable opportunity to investigate an alleged defect and, where reasonably necessary, provide samples or evidence.
10. Intended use and regulatory responsibility
EssenzNatur supplies botanical extracts and related materials primarily for professional and industrial use. Customers are responsible for determining suitability and legal permissibility for their intended use, formulation and target market, and for compliance of finished products with applicable laws.
11. Certificates and quality documentation
Where applicable, EssenzNatur may provide certificates, analytical documentation and other quality-related information. Certificates and analytical results relate to the relevant product or batch unless expressly stated otherwise.
12. Intellectual property
Intellectual property rights relating to the EssenzNatur website, including text, graphics, photographs, logos, designs and trademarks, remain with EssenzNatur or the respective rights holder unless otherwise stated. Website content may not be commercially exploited without permission except where permitted by law.
13. Confidentiality
Both parties shall treat confidential business, technical and commercial information received from the other party as confidential. This includes, where applicable, technical information, specifications, pricing, formulation information, business plans and non-public documentation. Standard exceptions apply for public, previously known, independently developed or legally required disclosures.
14. Liability
EssenzNatur shall be liable in accordance with applicable law. Any limitation of liability shall not apply where liability cannot legally be excluded or limited, including mandatory product liability and liability for injury to life, body or health. Where legally permissible, liability for ordinary negligence concerning non-essential obligations shall be limited to foreseeable and typically occurring damage.
15. Product liability
Nothing in these Terms excludes or restricts liability under mandatory applicable product liability legislation.
16. Data protection
The processing of personal data in connection with website use and business relationships is governed by EssenzNatur’s Privacy Policy.
17. Governing law
Contractual relationships between EssenzNatur and the customer shall be governed by the laws of the Federal Republic of Germany, excluding conflict-of-law provisions to the extent legally permissible. The CISG shall be excluded unless expressly agreed otherwise.
18. Place of jurisdiction
Where legally permissible, the courts at the registered office of EssenzNatur GmbH i.G. shall have jurisdiction over disputes arising from the business relationship. EssenzNatur may bring proceedings at another competent jurisdiction where permitted by law.
19. Severability
If any provision is invalid or unenforceable, the validity of the remaining provisions remains unaffected. The parties shall seek a legally valid provision that comes as close as reasonably possible to the commercial purpose of the original.
20. Amendments
EssenzNatur may update these Terms where necessary. The version applicable to a particular contract shall generally be the version agreed or referenced when the contract was concluded.
